1. General provisions.
Goals of dealer network:
1. Increase in sales volume and extension of territorial coverage in the Russian Federation and outside.
2. Service quality improvement in the regions of the Russian Federation.
2.1 Rendering consulting services;
2.2 Delivery of products to the regions of the Russian Federation.
3. Single pricing policy on the territory of the Russian Federation.
4. Control over equipment operation.
5. Obtaining information regarding competitors, customer demand, new trends in development of parasailing.
Main goals of a Dealer:
Our Dealers are required to:
1. Sell the products in the volume no less than determined and at manufacturer’s price.
2. Render consulting services.
3. Spread information about the company products among the target audience.
4. Deliver exact information of sales, quality and design claims according to affirmed form.
5. Deliver the products to the works for modification carried out only in workshop conditions.

2. The responsibilities of the Seller:
For its part OJSC “Polyot” undertakes:
to deliver the goods on the terms of Dealer Agreement
to train and support Dealers
to draw up and issue Dealer Certificates
to provide informational and advertising support:
- to post advertising information about a Dealer on “Polyot” website;
- to place dealer details in all promotional publications of the company, placed in specialized editions;
- to publish dealer details in company catalogues and booklets (as they are manufactured);
- to provide promotional support.
3. Dealer responsibilities:
A certified Dealer is a customer, client, contractor (an individual holding the status of sole proprietor or legal person) acting as an official representative of the Seller and responsible for distributing products of the Seller in the region under Dealer Agreement.
1. A Dealer is more than just a wholesale customer. Only individuals effecting delivery of parachute equipment to their regions professionally and on long-term basis can obtain dealer status.
2. A Dealer must be an independent person able to work at his own expense and in its own name.
3. To obtain dealer status one must make an initial purchase on terms determined by the present policy. If a person orders goods in quantities less than determined the goods will be supplied according to a standard price-list.
4. A Dealer must undergo annual training in OJSC “Polyot”.
5. A Dealer must have a direct interest in marketing parachute equipment in his region.
6. A Dealer takes part in regional trade shows.
To obtain dealer status of OJSC “Polyot” one must observe the following conditions of work:
1. To observe dealer conditions of work specified in the present document (the conditions run the season started from April through October).
2. To make an initial purchase of no less than 5 systems. An initial purchase is considered as simultaneous order, payment, supply and shipping of 5 systems as a single batch.
3. To retain dealership a Dealer must make at least one more purchase in the same season (without quantity limitations). Otherwise the person misses dealer status for the next season.
4. A person making an initial purchase of 5 systems in accordance with clause 2 of the present policy is allowed a discount of 10% (ten per cent) of the price of the system purchased.
5. The discount is given subject to clause 1 of the present provisions and 100% (one hundred per cent) prepayment of the cost of systems less specified discount (in the account net price for a system, amount of discount and total amount payable are shown).
6. A Dealer making purchases in accordance with the present provisions must come to the Seller’s location to pass a detailed briefing and get a registered Dealer Certificate. The form of Dealer Certificate is elaborated and confirmed by the Seller. The document is valid during the present calendar year.
7. A Dealer making a repeat purchase according to clause 3 of the present provisions is provided payment in installments when 50% (fifty per cent) of the system price are paid on the receipt of the system and the balance is paid in equal shares till the end of the season (less discount).
8. If a Dealer makes the 3rd purchase per season in the amount of 5 systems in a single batch, payment is effected in accordance with clause 7 of the present provisions.
If a Dealer makes the 3rd purchase per season on condition that the quantity of systems purchased is not less than 5 systems in single batch, the Dealer is allowed 20% (twenty per cent) discount on terms of 100% prepayment.

3. To conclude Dealer Agreement with OJSC “Polyot”.
4. To undergo briefing in the company.
5. To get Dealer Certificate.
6. To get promotional materials (per 5 systems).
7. To fulfil all the terms specified in Dealer Agreement ( including delivery of customer application forms, information about sales and quality claims).
